1. Introduction
These Terms govern your access to and use of the CueCrux platform: the cuecrux.com website, our hosted services (including hosted sync, Governance features, metered services, and WikiCrux at wiki.cuecrux.com), the Crux Daemon software, and associated documentation (together, the "Platform"). The Platform is operated by CueCrux Limited, a company incorporated in England and Wales ("CueCrux", "we", "us"). By using the Platform you accept these Terms. If you do not agree, do not use the Platform.
2. The Crux Daemon licence
We grant you a free, non-exclusive, non-transferable licence to install and run the Crux Daemon for your own lawful purposes, personal or commercial. The daemon requires no account and no payment. You may not reverse engineer it except where the law permits, misrepresent modified builds as official releases, or circumvent its receipt, signing, or policy mechanisms while representing outputs as CueCrux-verified.
3. Accounts
Hosted features require an account. You must be at least 18 (or the age of majority in your jurisdiction), provide accurate information, and keep credentials confidential. You are responsible for activity under your account and under passports you issue, including the actions of AI agents operating under them. Organisation accounts bind the organisation, and the person creating one confirms authority to do so.
4. Acceptable use
You agree not to:
- use the Platform in violation of applicable law, including data protection, intellectual property, export control, and sanctions law;
- submit content or personal data you lack the rights or lawful basis to provide;
- attempt to forge, alter, or misrepresent receipts, attestations, passports, or trust tiers, or present tampered trails as verified;
- circumvent RCX policy, rate limits, or usage caps on hosted services;
- use the Platform to create or distribute unlawful, fraudulent, or harmful content, or to conduct social scoring or manipulative practices prohibited under applicable law;
- access the Platform from jurisdictions subject to comprehensive sanctions, or use it for prohibited end-uses including weapons development.
Operators of agent fleets are responsible for their agents' compliance with these Terms. CueCrux provides governance controls (policy gates, receipts, revocation); using them does not transfer your regulatory or legal responsibility to us.
5. Content and intellectual property
You retain ownership of content you submit and of your agents' stored memory and receipts. You grant us a licence to host and process content only as needed to provide hosted services you have enabled. We do not use your content to train models. The Platform, its software, marks, and documentation are owned by CueCrux or its licensors; no rights are granted except as stated here.
6. Payments and credits
Pro and Governance subscriptions and credit top-ups are processed by Paddle as merchant of record; refunds are governed by the Refund policy. Metered credits are an internal unit of account for hosted compute (indicative rate £0.01 per credit; the published price list controls). Credits are not currency, not transferable, not an investment, and not redeemable for cash. Every credit spend mints a signed receipt. We may suspend paid features for non-payment.
7. AI systems and high-risk use
The Platform provides engineering controls for governing AI agents, including risk classes, human gates, and hash-chained logging. These controls support, but do not constitute, compliance with the EU AI Act or any other regulation, and nothing on the Platform is legal advice. If you deploy agents in regulated or high-impact domains, you are responsible for your own compliance assessment, human oversight, and lawful use.
8. Disclaimers
The Platform is provided "as is" and "as available". We disclaim all implied warranties to the maximum extent permitted by law. Receipts prove what was recorded through the daemon's write path; they do not warrant the correctness, legality, or fitness of the underlying agent actions or outputs. Outputs of AI systems governed by the Platform remain your responsibility to verify.
9. Liability
To the maximum extent permitted by law, CueCrux is not liable for indirect, incidental, consequential, special, or punitive damages, or loss of profits or data. Our total liability in any 12-month period is limited to the greater of the amounts you paid us in that period or £100. Nothing in these Terms limits liability that cannot be limited by law.
10. Suspension and termination
We may suspend or terminate access to hosted services for breach, legal requirement, or security risk. You may close your account at any time. Your local daemon and locally stored data are unaffected by hosted-service termination. Clauses that by nature survive termination do so.
11. Changes
We may amend these Terms; material changes are notified with reasonable notice, and continued use after the effective date is acceptance. If a change of law materially affects the Platform, we may adjust or withdraw affected services.
12. Governing law and contact
These Terms are governed by the laws of England and Wales, with exclusive jurisdiction in its courts, subject to any mandatory consumer protections in your place of residence. Questions: legal@cuecrux.com. Registered office details are available at Companies House.
